Terms of Service

Welcome to VirtualExec. These Terms of Service (“Terms”) govern your access to and use of the VirtualExec website, platform, applications, features, and related services (collectively, the “Service”).

By creating an account, purchasing a subscription, or using the Service, you agree to these Terms. If you do not agree to these Terms, you may not use the Service.

1. About VirtualExec

VirtualExec provides AI-powered business support tools designed to help businesses with tasks such as content creation, business planning, research, document processing, image-related tasks, marketing support, and other business workflows.

VirtualExec uses artificial intelligence and third-party technology providers to deliver portions of the Service. AI-generated results are provided as business assistance and should be reviewed by the user before being relied upon, published, distributed, or used to make important business decisions.

VirtualExec is not a substitute for professional legal, financial, accounting, medical, or other regulated professional advice.

2. Eligibility

You must be legally capable of entering into a binding agreement to use the Service.

If you are using VirtualExec on behalf of a business or organization, you represent that you have authority to accept these Terms on its behalf.

3. Accounts

Some features require you to create an account.

You agree to:

  • Provide accurate and current information.
  • Maintain the security of your login credentials.
  • Keep your account information up to date.
  • Notify VirtualExec promptly of unauthorized access to your account.
  • Accept responsibility for activity occurring under your account.

You may not share, sell, transfer, or otherwise provide access to your account except as expressly permitted by your subscription plan.

4. Subscriptions and Plans

VirtualExec may offer free and paid subscription plans.

Each plan may have different limits, features, user seats, projects, document allowances, image allowances, AI usage, and other restrictions. The features and limits applicable to your account are determined by the plan you select.

VirtualExec reserves the right to modify plan features, limits, or pricing in accordance with applicable law. Where required, reasonable notice will be provided before material changes take effect.

Certain features or services may also be offered as optional add-ons.

5. Billing and Payments

Paid subscriptions are billed according to the billing interval selected at the time of purchase.

By subscribing to a paid plan, you authorize VirtualExec or its designated payment processor to charge the applicable subscription fees and other authorized charges to your selected payment method.

If a payment cannot be processed, VirtualExec may restrict or suspend access to paid features until payment is successfully completed.

You are responsible for providing accurate billing and payment information.

6. Cancellation

You may cancel your subscription according to the cancellation options provided through your account or billing system.

Unless otherwise stated at the time of purchase, cancellation prevents future renewal but does not necessarily result in a refund for the current billing period.

Any refund eligibility will be governed by the applicable refund policy presented at the time of purchase.

7. Free Plans

VirtualExec may offer free plans with limited functionality.

Free plans may include limitations on the number of users, projects, documents, images, AI requests, or other resources available to the account.

VirtualExec may modify or discontinue free plans at any time, subject to applicable law.

8. Your Content

You may upload, submit, create, store, or otherwise provide information, documents, images, text, business information, and other materials through the Service (“User Content”).

You retain ownership of your User Content.

You grant VirtualExec a limited license to host, process, transmit, store, and otherwise use your User Content solely as reasonably necessary to provide, maintain, secure, and improve the Service, subject to our Privacy Policy and any applicable settings or agreements.

You are responsible for ensuring that you have the necessary rights and permissions to upload and process your User Content.

You must not upload content that you do not have the legal right to use.

9. AI-Generated Content

VirtualExec may generate text, images, recommendations, analyses, summaries, strategies, or other output using artificial intelligence (“AI Output”).

AI Output may be inaccurate, incomplete, outdated, misleading, or inappropriate for a particular purpose.

You are responsible for reviewing AI Output before using it.

You should independently verify important facts, claims, calculations, recommendations, or other information contained in AI Output.

VirtualExec does not guarantee that AI Output will be accurate, unique, complete, error-free, or suitable for your particular business needs.

You are responsible for determining whether and how AI Output is used in your business.

10. Human Review

VirtualExec may offer a Human Review service or other human-assisted services as an optional feature.

Where Human Review is purchased, VirtualExec may have authorized personnel review submitted materials for the purpose of providing the requested service.

Human Review does not constitute professional legal, financial, accounting, medical, or other regulated professional advice unless expressly stated in a separate written agreement.

Human Review also does not guarantee that content is free from errors.

11. Acceptable Use

You agree not to use VirtualExec to:

  • Violate any applicable law or regulation.
  • Infringe another person’s intellectual property or other rights.
  • Upload or distribute malicious software or harmful code.
  • Attempt to gain unauthorized access to the Service or another user’s account.
  • Interfere with or disrupt the Service.
  • Circumvent subscription limits, usage restrictions, or security controls.
  • Abuse automated systems or attempt to overload the Service.
  • Use the Service for fraudulent, deceptive, or unlawful activities.
  • Generate or distribute content that violates applicable law.
  • Use the Service to facilitate activities that VirtualExec reasonably determines pose a significant security, legal, or operational risk.

VirtualExec reserves the right to investigate suspected violations and take appropriate action.

12. Business Decisions

VirtualExec is designed to assist businesses, not replace human judgment.

You remain responsible for decisions made using information, recommendations, strategies, documents, or other output produced through the Service.

You should obtain appropriate professional advice before making decisions involving significant legal, financial, tax, employment, regulatory, or other professional consequences.

13. Intellectual Property

The VirtualExec Service, including its software, platform, branding, designs, logos, interfaces, documentation, and underlying technology, is owned by or licensed to VirtualExec and is protected by applicable intellectual property laws.

Except as expressly permitted by these Terms, you may not copy, modify, reproduce, distribute, sell, lease, reverse engineer, or create derivative works from the Service.

Subject to these Terms and applicable third-party rights, you may use AI Output generated for your account for your own business purposes.

Third-party services and AI models used by VirtualExec may have their own terms and restrictions.

14. Third-Party Services

VirtualExec may integrate with or rely upon third-party services, including artificial intelligence providers, payment processors, hosting providers, analytics services, storage providers, and other technology providers.

Your use of certain features may therefore be subject to additional third-party terms.

VirtualExec is not responsible for the availability, performance, policies, or actions of third-party services that are outside VirtualExec’s control.

15. Privacy

Your use of VirtualExec is also governed by our Privacy Policy.

The Privacy Policy explains how information is collected, used, stored, and processed in connection with the Service.

16. Service Availability

VirtualExec will make reasonable efforts to maintain the availability of the Service but does not guarantee uninterrupted or error-free operation.

The Service may occasionally be unavailable due to:

  • Maintenance.
  • Updates.
  • Security measures.
  • Technical failures.
  • Third-party service interruptions.
  • Internet or infrastructure failures.
  • Circumstances beyond our reasonable control.

VirtualExec may modify, suspend, or discontinue portions of the Service when reasonably necessary.

17. Security

VirtualExec takes reasonable measures designed to protect the Service and information processed through it.

However, no online service can guarantee absolute security.

You acknowledge that transmission and storage of information through the internet involves inherent risks.

18. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Service is provided on an “as is” and “as available” basis.

VirtualExec makes no warranties, express or implied, regarding the Service, including warranties of merchantability, fitness for a particular purpose, availability, accuracy, reliability, or non-infringement, except where such warranties cannot legally be excluded.

VirtualExec does not guarantee that the Service or AI Output will:

  • Meet your specific requirements.
  • Produce a particular business result.
  • Be uninterrupted or error-free.
  • Be completely accurate.
  • Be free from harmful or unexpected output.

19. Limitation of Liability

To the maximum extent permitted by applicable law, VirtualExec and its owners, operators, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of the Service.

To the maximum extent permitted by applicable law, VirtualExec’s total liability arising from or related to the Service will not exceed the amount you paid to VirtualExec for the Service during the 12 months immediately preceding the event giving rise to the claim.

Nothing in these Terms is intended to exclude or limit liability that cannot legally be excluded or limited.

20. Indemnification

You agree to defend, indemnify, and hold harmless VirtualExec and its owners, operators, employees, contractors, affiliates, and service providers from claims, damages, liabilities, losses, costs, and expenses arising from:

  • Your use of the Service.
  • Your User Content.
  • Your violation of these Terms.
  • Your violation of applicable law.
  • Your infringement of another person’s rights.

21. Suspension and Termination

VirtualExec may suspend or terminate your access to the Service if:

  • You violate these Terms.
  • Your account is involved in fraudulent or abusive activity.
  • Your use creates a security or operational risk.
  • Required payments remain unpaid.
  • We are required to do so by law.
  • We discontinue the Service.

You may stop using the Service at any time.

Upon termination, your right to access paid or restricted features may end. Certain provisions of these Terms will survive termination, including provisions relating to intellectual property, disclaimers, limitations of liability, indemnification, and dispute resolution.

22. Data After Termination

Following account cancellation or termination, VirtualExec may retain or delete account information and User Content in accordance with its Privacy Policy, applicable law, and operational requirements.

You are responsible for exporting any information you wish to retain before terminating your account when export functionality is available.

23. Changes to These Terms

VirtualExec may update these Terms from time to time.

When changes are made, the updated Terms will be posted on this page with a revised Effective Date.

Your continued use of the Service after the updated Terms become effective constitutes acceptance of the revised Terms, to the extent permitted by applicable law.

24. Governing Law

These Terms will be governed by the laws applicable to VirtualExec’s operating entity and its principal place of business, without regard to conflict-of-law principles, unless applicable law requires otherwise.

Any dispute that cannot be resolved informally will be handled in a court of competent jurisdiction, subject to applicable law.

25. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

26. Entire Agreement

These Terms, together with the Privacy Policy and any additional agreements expressly incorporated into them, constitute the entire agreement between you and VirtualExec regarding your use of the Service.
